1. Acceptance of Terms

By accessing or using the SmartTasks Browser Extension, Desktop Application, or Web Portal (collectively, the "Services"), you agree to be bound by these Terms of Use. These terms constitute a legally binding agreement between you and SmartTasks. If you do not agree to these terms, you must immediately cease use of the Services.

2. Description of Service & Product Distinction

SmartTasks provides a multi-layered AI automation platform. You acknowledge the following distinction between our product offerings:

  • The Browser Extension (Sovereign Mode): A locally-executed automation tool provided as a free service for individual use. It functions independently of a user account and processes data on your local hardware.

  • The Web Portal & Desktop App (Enterprise Mode): An integrated suite requiring account registration, license management, and optional cloud-synchronization features managed via our centralized web portal.

3. User Accounts & Licensing

While the Browser Extension is account-free, the Web Portal and Desktop App require a registered account. You are responsible for maintaining the confidentiality of your credentials. Licenses for the Desktop Application are granted on a per-seat basis and are verified via your unique Machine ID. Unauthorized sharing of license keys or attempting to bypass license seat management is a material breach of these Terms.

4. Acceptable Use & AI Safety Standards

You agree to use the Services in compliance with all applicable laws, including the EU AI Act and GDPR. You are strictly prohibited from:

  • Using the Services for illegal data scraping, unauthorized surveillance, or intrusive automated interactions.

  • Attempting to bypass the Sovereignty Guard or Human-in-the-Loop (HITL) safety gates designed to protect data privacy.

  • Modifying, reverse-engineering, or tampering with the Wasm/WebGPU execution layers or the "Back-Propagation" logic.

  • Distributing plugins that surreptitiously exfiltrate data or violate the privacy of third parties.

5. Marketplace & Developer Ecosystem

Developers submitting plugins to the SmartTasks Marketplace retain ownership of their original code but grant SmartTasks a non-exclusive, worldwide license to distribute, verify, and monitor the plugin for safety. All plugins must comply with the Sovereignty Guard Protocol. We reserve the right to remove any plugin that violates our security standards, disrupts ICT resilience, or fails to meet regulatory frameworks (e.g., BaFin/DORA).

6. Subscriptions, Billing & Third-Party Payments

Subscription tiers for Enterprise features are processed via Stripe. Billing occurs in advance on a monthly or yearly basis. You may cancel your subscription at any time; access to paid features will continue until the end of the current billing cycle. Because our payment processor handles all financial transactions, SmartTasks does not store or see your credit card details. SmartTasks is not liable for billing errors or security incidents occurring within the third-party payment gateway.

7. Intellectual Property

The SmartTasks name, logo, proprietary "Back-Propagation" algorithms, and "AI Magnification" logic are the exclusive intellectual property of SmartTasks. Your use of the software does not grant you ownership of any underlying algorithms or code. Any unauthorized use of our trademarks or proprietary logic is strictly prohibited.

8. Local Execution & Limitation of Liability

Because the Services utilize local hardware for AI inference, SmartTasks is not liable for performance variations, hardware degradation, or system instability caused by your specific hardware constraints. To the maximum extent permitted by law, SmartTasks shall not be liable for any indirect, incidental, or consequential damages (including data loss or business interruption) arising from the use or inability to use the Services.

9. Regulatory Compliance & Governing Law

SmartTasks is designed to meet the ICT resilience standards of DORA and the risk-management requirements of BaFin. These terms are governed by the laws of the jurisdiction in which SmartTasks is registered, without regard to conflict of law principles.

10. Right to Explanation & Audit Vault

In accordance with the EU AI Act, users have a Right to Explanation for automated decisions. You may access your local "Audit Vault" to view logic traces. SmartTasks is not responsible for the accuracy of outputs generated by third-party local models loaded into the environment by the user.
